To provide context, the agreement, clearly stipulates that the Software li-censed to them is for use exclusively within the United States, with provisions for global usage outlined in Section 3.2 and 3.3. The agreement states that the Licensee must obtain written consent from the Developer and pay a Glob-al Use Fee of $1,700,000 to expand the Software’s usage outside of the United States.
It has come to my attention they have violated these terms by using the Software outside of the United States without prior consent and without pay-ing the required Global Use Fee. We believe this unauthorized global use con-stitutes a material breach of the agreement. We have contacted them a few times about the matter without any real success. We have records of the agreement and interactions regarding the violations as well.
